These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Sutracom Technologies Pvt. Ltd.(“Sutracom,” “we,” “us,” or “our”), governing your access to and use of the Sutracom CloudERP platform and all associated services (the “Services”). By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms.
If you are using the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
1. Description of Services
Sutracom CloudERP is a cloud-based Enterprise Resource Planning (ERP) platform delivered as a Software-as-a-Service (SaaS). The platform includes modules for accounting, GST compliance, invoicing, inventory management, purchase management, sales management, reporting, and mobile access. We may update, modify, or add features to the Services from time to time, with or without notice.
2. Account Registration
- You must provide accurate, complete, and current information when creating an account.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity that occurs under your account.
- You must immediately notify us at support@sutracom.in of any unauthorised access to your account.
- You must be at least 18 years old and legally capable of entering into a binding contract to use our Services.
- You may not create accounts using automated means or for purposes of abuse.
3. Subscription and Payment
3.1 Plans and Pricing
Sutracom CloudERP is offered on an annual subscription basis at ₹4,999 per year (inclusive of applicable GST). Pricing may be revised at renewal. You will be notified of any price changes at least 30 days in advance.
3.2 Payment Processing
Payments are processed securely through Razorpay. We accept UPI, credit cards, debit cards, net banking, and wallets. By subscribing, you authorise us to charge the applicable subscription fee to your chosen payment method.
3.3 Renewal
Annual subscriptions are not automatically renewed without your explicit consent. We will send you a renewal reminder 30 days before your subscription expiry. You may choose to renew at that time.
3.4 Failed Payments
If a payment fails, we will notify you and provide a 7-day grace period to update your payment method. If payment is not completed within the grace period, your account may be suspended. Your data will be retained for 30 days after suspension, giving you time to resolve the payment issue.
4. Free Trial
We offer a 14-day free trial with full access to all features. No credit card is required to start a trial. At the end of the trial period, you may choose to subscribe. If you do not subscribe, your trial account and data will be retained for an additional 7 days before deletion.
5. Acceptable Use Policy
You agree NOT to use the Services to:
- Upload, transmit, or store any content that is illegal, defamatory, or infringes any third-party rights
- Engage in any fraudulent activity or facilitate illegal transactions
- Attempt to gain unauthorised access to our systems or another user's account
- Transmit malware, viruses, or any destructive code
- Reverse engineer, decompile, or attempt to extract source code from the platform
- Resell, sublicense, or provide access to the Services to third parties without authorisation
- Use the Services in any manner that violates applicable Indian or international laws
- Conduct load testing or stress testing that could impair platform performance for other users
6. Data Ownership and Processing
- You retain full ownership of all business data you input into the platform.
- We process your data solely to provide the Services and as described in our Privacy Policy.
- Upon account termination, you may export your data within 30 days. After this period, your data may be deleted from our active systems.
- We will not access your business data except where necessary to provide support or where legally required.
7. Intellectual Property
- The Sutracom platform, including its software, design, trademarks, and content, is owned by Sutracom Technologies Pvt. Ltd. and protected by applicable intellectual property laws.
- Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Services during the subscription period.
- You may not reproduce, distribute, or create derivative works from any part of our platform without written permission.
8. Service Availability and Uptime
We target 99.9% monthly uptime for the platform, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance via email and in-app notification. Unplanned outages will be communicated via our status page and email.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Sutracom Technologies Pvt. Ltd. shall not be liable for:
- Any indirect, incidental, special, or consequential damages arising from use of the Services
- Loss of revenue, profits, business, or data beyond what is recoverable from our backup systems
- Errors or inaccuracies in GST calculations or filings resulting from incorrect data provided by you
- Any loss arising from force majeure events including natural disasters, government actions, or internet outages
Our total liability in any 12-month period shall not exceed the amount paid by you for the Services during that period.
10. Disclaimer of Warranties
The Services are provided “as is” and “as available” without warranties of any kind, except as expressly stated in these Terms. We do not warrant that the Services will be error-free, uninterrupted, or free from viruses. Tax and GST calculations are based on the information you provide — please consult a qualified CA for complex tax matters.
11. Indemnification
You agree to indemnify and hold harmless Sutracom Technologies Pvt. Ltd., its directors, employees, and partners from any claims, damages, penalties, or expenses arising from your violation of these Terms, your use of the Services, or your breach of applicable law.
12. Termination
- You may terminate your subscription at any time. Your access will remain active until the end of the current subscription year. No partial refunds are issued for mid-year cancellations unless within the 7-day refund window (see Refund Policy).
- We may terminate or suspend your account immediately for material breaches of these Terms, fraudulent activity, or non-payment.
- Upon termination, your right to access the Services ceases. We will retain your data for 30 days during which you may export it.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India. We encourage resolution of disputes through good-faith negotiation before initiating legal proceedings.
14. Modifications to Terms
We may modify these Terms at any time. We will notify you of material changes via email and in-app notification at least 14 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may terminate your subscription before the effective date.
